Please read these Terms of Service carefully. By accessing or using the Orbit Consulting LLC website or RMF Tool, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Orbit Consulting LLC ("Orbit," "we," "our," or "us"), a limited liability company operating in the Washington, D.C. Metropolitan Area.

By accessing our website at orbitconsultingfirm.com (the "Site") or using our Risk Management Framework Tool or related professional services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

2. Description of Services

Orbit Consulting LLC provides cybersecurity consulting services and a software tool designed to assist federal agencies and their contractors in implementing, managing, and documenting compliance with the NIST Risk Management Framework (RMF) as described in NIST SP 800-37 Rev 2, aligned with NIST SP 800-53 Rev 5 controls.

Our Services include:

  • The Orbit RMF Tool — a web-based application for managing security control implementation, assessment tracking, Plan of Action and Milestones (POA&M) management, and documentation generation;
  • Professional consulting services including RMF lifecycle support, Security Control Assessments (SCA), Authorization and Accreditation (A&A) support, continuous monitoring, and staff augmentation;
  • Document generation capabilities including Security Assessment Plans (SAP) and Security Assessment Reports (SAR);
  • Wealthpilot — an AI-powered personal and business financial management application that connects to linked financial accounts to provide budgeting, spending analysis, and AI-generated financial insights.

Wealthpilot is offered as a distinct product within the Services. Section 16 below contains terms that apply specifically to Wealthpilot.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, without liability to you.

3. Access and Account Registration

3.1 Account Creation

Access to the RMF Tool requires an approved account. You must submit an access request through our Site; account creation is at our sole discretion. You agree to provide accurate, current, and complete information and to keep your account information updated.

3.2 Credentials and Security

You are responsible for maintaining the confidentiality of your login credentials. You must not share your credentials with any third party. You agree to notify us immediately at info@orbitconsultingfirm.com if you suspect any unauthorized access to or use of your account. Orbit will not be liable for any loss or damage arising from your failure to protect your credentials.

3.3 Temporary Passwords

Initial access credentials may be provided as temporary passwords. You are required to change your temporary password upon first login. Continued use of a temporary password beyond the first login session is prohibited.

3.4 Authorized Use Only

Access to the RMF Tool is granted for authorized professional use only. Your account is personal and non-transferable. Any suspected unauthorized access will result in immediate account suspension pending investigation.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services to process, store, or transmit classified national security information;
  • Attempt to gain unauthorized access to any portion of the Services, related systems, networks, or data;
  • Circumvent, disable, or interfere with security features of the Services;
  • Use automated means (bots, scrapers, crawlers) to access or collect data from the Services without our prior written consent;
  • Upload or transmit malicious code, viruses, or any software designed to harm systems or data;
  • Reverse-engineer, decompile, or attempt to extract source code from the Services;
  • Use the Services to violate any applicable federal, state, or local law or regulation;
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
  • Use the Services in any manner that could impair, overburden, or damage our infrastructure;
  • Enter false, misleading, or inaccurate control implementation statements, assessment data, or other information into the RMF Tool.

Violation of these acceptable use requirements may result in immediate account termination and, where appropriate, referral to relevant authorities.

5. Intellectual Property

5.1 Orbit's Property

The Services, including all software, source code, databases, documentation, designs, graphics, and content, are owned by Orbit Consulting LLC or its licensors and are protected by applicable intellectual property laws. These Terms do not transfer any intellectual property rights to you.

5.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal professional purposes in connection with federal cybersecurity compliance activities.

5.3 Your Content

You retain ownership of data, documents, and content you create, enter, or upload into the RMF Tool ("User Content"). By submitting User Content, you grant Orbit a limited license to use it solely as necessary to provide the Services to you. We will not use your User Content for any other purpose. You are solely responsible for the accuracy, legality, and appropriateness of your User Content.

5.4 NIST Framework References

The Services incorporate references to NIST Special Publications and control frameworks, which are U.S. government works in the public domain. Our presentation, organization, and implementation of such frameworks constitute our proprietary work product.

6. Confidentiality and Data

You acknowledge that information entered into the RMF Tool may be sensitive in nature, including system security plans, control implementation details, vulnerabilities, and related security documentation. You are responsible for ensuring that any information you enter into the Services is handled in accordance with applicable laws, regulations, agency policies, and any data handling agreements between your organization and Orbit.

The RMF Tool is not accredited or authorized to process information classified at any level. Do not enter classified information, information controlled under 32 CFR Part 2002 (CUI), export-controlled information, or Privacy Act-protected information beyond what is necessary for the purpose of documenting your system's security controls.

7. No Federal Endorsement

Orbit Consulting LLC is a private company. The use of NIST framework references, federal cybersecurity terminology, or descriptions of federal compliance activities does not imply endorsement, approval, or affiliation with any U.S. government agency or department. Use of the Services does not constitute or guarantee an Authority to Operate (ATO) or any other federal authorization decision.

8. Disclaimers of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

Orbit does not warrant that: (a) the Services will meet your specific requirements or achieve any particular compliance outcome; (b) the Services will be uninterrupted, timely, secure, or error-free; (c) any information, data, or documents generated by the Services will be accurate, complete, or sufficient for any regulatory purpose; or (d) any defects will be corrected.

Documents generated by the Services (including SAPs and SARs) are drafts intended as starting points and must be reviewed, validated, and approved by qualified security professionals before submission to any regulatory authority.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORBIT CONSULTING LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of: (a) the total amount paid by you to Orbit in the twelve (12) months preceding the claim; or (b) one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Orbit Consulting LLC and its affiliates, officers, members, employees, agents, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any applicable law or the rights of any third party.

11. Term and Termination

These Terms are effective from the date you first access the Services and continue until terminated. We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, inactivity, or cessation of our operations.

You may terminate your account at any time by contacting us at info@orbitconsultingfirm.com. Termination of your account does not relieve you of obligations incurred prior to termination.

Sections 5, 6, 8, 9, 10, 12, and 14 shall survive termination of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be submitted to binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, with proceedings conducted in the Washington, D.C. metropolitan area.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights. You agree that any claim must be brought within one (1) year of the event giving rise to the claim.

13. Modifications

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date above and, where feasible, provide notice through the Services or by email. Your continued use of the Services after such notice constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you must discontinue use of the Services.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Orbit regarding the Services and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Waiver: Failure by Orbit to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms freely.
  • Force Majeure: We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, government actions, cyberattacks, or telecommunications failures.
  • No Third-Party Beneficiaries: These Terms are for the benefit of the parties only and do not create any third-party beneficiary rights.
  • Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.

16. Wealthpilot — Additional Terms

The following additional terms apply specifically to your use of Wealthpilot, Orbit's AI-powered financial management application. In the event of a conflict between this Section 16 and any other section of these Terms with respect to Wealthpilot, this Section 16 controls.

16.1 Not a Financial Institution or Advisor

Orbit Consulting LLC is not a bank, broker-dealer, investment adviser, financial planner, or fiduciary, and Wealthpilot is not licensed or registered as such with the SEC, FINRA, any state securities regulator, or any banking regulator. Wealthpilot does not hold, transfer, or have access to your funds. All budgeting summaries, spending analyses, savings projections, and other outputs (including any generated using artificial intelligence) are provided for informational and educational purposes only and do not constitute financial, investment, tax, legal, or accounting advice.

16.2 AI-Generated Content; On-Device Processing

Wealthpilot uses artificial intelligence and automated models, running locally on your device, to analyze financial data and generate insights, categorizations, and recommendations. Your financial data is not transmitted to Orbit or to any third-party AI provider in order to generate these outputs. AI-generated content may contain errors, omissions, or inaccuracies, including miscategorized transactions or projections based on incomplete data. You acknowledge that:

  • AI outputs are not guaranteed to be accurate, complete, or suitable for your particular financial situation;
  • The performance and accuracy of on-device AI features may vary depending on your device's hardware and software;
  • You are solely responsible for any financial decisions made in reliance on Wealthpilot, and should consult a licensed financial advisor, accountant, or attorney before acting on any AI-generated recommendation;
  • Orbit disclaims all liability for financial losses arising from reliance on AI-generated content.

16.3 Local Data Storage; Your Responsibility for Backups

Wealthpilot stores the financial data you enter locally on your device (e.g., in browser local storage or an on-device database) rather than on Orbit's servers. Wealthpilot does not link to or connect with your bank, credit card, brokerage, or other financial institution accounts, and does not use third-party account aggregation services. You are solely responsible for backing up and exporting your locally stored data. Orbit is not responsible for any loss of data resulting from clearing browser data, uninstalling the application, device loss or failure, browser updates, or switching devices or browsers. If Wealthpilot offers an optional cloud-sync or backup feature, use of that feature is subject to the data-handling terms disclosed at the time you enable it.

16.4 No Guarantee of Outcomes

Orbit makes no representation or warranty that use of Wealthpilot will result in any particular financial outcome, including but not limited to savings targets, debt reduction, budget adherence, or investment performance. Past spending patterns and projections shown in Wealthpilot are not indicative of future results.

16.5 Account Security

You are responsible for maintaining the security of your Wealthpilot account credentials and for promptly notifying us of any unauthorized access. Because Wealthpilot may display sensitive financial information, you should not access Wealthpilot on shared or unsecured devices, and should enable any available multi-factor authentication.

16.6 Eligibility

Wealthpilot is intended for individuals who are at least 18 years of age (or the age of majority in their jurisdiction) and who have the legal capacity to enter into financial agreements. Wealthpilot is intended for use within the United States; availability of account-linking for institutions outside the United States is not guaranteed.
